Penalties for Non-Compliance
The MCA’s penalty regime for late filing is severe — and unlike GST, there are no amnesty schemes or waiver programs for ROC defaults.

01 Does a newly incorporated company need to file annual compliance in its first year?
Yes — Form ADT-1 (auditor appointment) must be filed within 30 days of incorporation. The first AGM must be held within 9 months of the first financial year end. AOC-4 and MGT-7 are due 30 and 60 days after AGM respectively.
02 Is annual compliance required for a company with no business activity?

03 Can I file overdue ROC returns now?
